End User License Agreement

IMPORTANT, PLEASE READ CAREFULLY. THIS IS A LICENSE AGREEMENT.

Emily – The Ultimate Voice Assistant™ (ETUVA) is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Emily – The Ultimate Voice Assistant™ (ETUVA) is licensed, not sold.

END USER LICENSE AGREEMENT

This End User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Wotgives Innovations, LLC (WGI), with regard to the copyrighted software (herein referred to as ETUVA or ‘software’) provided with this EULA. ETUVA includes computer software, the associated media, any printed materials, and any ‘online’ or electronic documentation. This EULA was last updated on January 22, 2023.

Use of any software and related documentation provided to you by WGI in whatever form or media will constitute your acceptance of these terms.

Read the entire EULA. If you do not agree with the terms of this EULA, then select NO and uninstall the software. If you do not agree to the terms of this EULA, WGI is unwilling to license the software to you. By selecting YES, you agree to be bound by the terms of this EULA.

Monetization

You may use ETUVA during live streams and in videos (or other forms of media) that produce income through monetization without the consent of WGI, as long as a link to the ETUVA website is provided to the audience. The website link is: https://www.emilyvoiceassitant.com.

Eligible Licensees

This software is available for license solely to software owners, with no right of duplication or further distribution, licensing, or sub-licensing.

License Grant

WGI grants to you a personal, non-transferable, and non-exclusive right to use the copy of the software provided with this EULA. You agree you will not copy the software except as necessary to use it on a single computer. You agree that you may not copy the written materials accompanying the software. Modifying, translating, renting, copying, transferring, or assigning all or part of the software, or any rights granted hereunder, to any other persons and removing any proprietary notices, labels, or marks from the software is strictly prohibited. Furthermore, you hereby agree not to create derivative works based on the software. You may not transfer this software.

Copyright

The software is licensed, not sold. You acknowledge that no title to the intellectual property in the software is transferred to you. You further acknowledge that title and full ownership rights to the software will remain the exclusive property of WGI, and you will not acquire any rights to the software, except as expressly set forth above. All copies of the software will contain the same proprietary notices as contained in or on the software. All title and copyrights in and to WGI (including but not limited to any images, photographs, animations, video, audio, music, text and ”applets,” incorporated into the software), the accompanying printed materials, and any copies of the software, are owned by WGI. ETUVA is protected by copyright laws and international treaty provisions. You may not copy the printed materials accompanying the software.

Reverse Engineering

You agree that you will not attempt, and if you are a corporation, you will use your best efforts to prevent your employees and contractors from attempting to reverse compile, modify, translate or disassemble the software in whole or in part. Any failure to comply with the above or any other terms and conditions contained herein will result in the automatic termination of this license and the reversion of the rights granted hereunder to WGI. Legal action will be taken to recover any damages WGI incurs from your actions.

Disclaimer of Warranty

The software is provided ‘AS IS’ without warranty of any kind. WGI disclaim and make no express or implied warranties and specifically disclaim the warranties of merchantability, fitness for a particular purpose and non-infringement of third-party rights. The entire risk as to the quality and performance of the software is with you. WGI does not warrant that the functions contained in the software will meet your requirements or that the operation of the software will be uninterrupted or error-free. WGI is not obligated to provide any updates to the software, but will do so to continually improve the software. WGI strives to make the easiest Voice Command Software possible.

Limitation of Liability

WGI entire liability and your exclusive remedy under this EULA shall not exceed the price paid for the software, if any. In no event shall WGI be liable to you for any consequential, special, incidental or indirect damages of any kind arising out of the use or inability to use the software, even if WGI has been advised of the possibility of such damages, or any claim by a third party.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES

If you distribute the software in violation of this Agreement, you agree to indemnify, hold harmless and defend Wotgives Innovations from and against any claims or lawsuits, including attorney’s fees that arise or result from the use or distribution of the software in violation of this Agreement.

INDEMNIFICATION BY YOU

If you distribute the software in violation of this Agreement, you agree to indemnify, hold harmless and defend Wotgives Innovations from and against any claims or lawsuits, including attorney’s fees that arise or result from the use or distribution of the software in violation of this Agreement.

TERM AND TERMINATION

This Agreement shall remain in effect until terminated by you or by WGI. WGI may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement shall terminate immediately, without prior notice from WGI, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application from your computer.

Upon termination of this Agreement, you shall cease all use of ETUVA and delete ETUVA from your computer. Termination of this Agreement will not limit any of WGI’s rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.

AMENDMENTS TO THIS AGREEMENT

WGI reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use ETUVA after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use ETUVA.

GOVERNING LAW

The laws of the State of Florida, in the United States of America, excluding its conflicts of law rules, shall govern this Agreement and your use of the Application. Your use of the Application may also be subject to other local, state, national, or international laws.

ENTIRE AGREEMENT

The Agreement constitutes the entire agreement between you and WGI regarding your use of the software and supersedes all prior and contemporaneous written or oral agreements between you and WGI. You may be subject to additional terms and conditions that apply when you use or purchase other WGI’s services, which WGI will provide to you at the time of such use or purchase.

SOFTWARE PRIVACY POLICY

WGI believes that collection of private data is a violation of your human rights. ETUVA does not collect personal data from your Computer. ETUVA only communicates with the EUTVA website to perform License Authentication and to check for Updates to ETUVA. Any links provided in ETUVA, such as to the ETUVA social media sites, are direct links. WGI cannot control the policies of social media websites.

PLUGINS

There exist two types of Plugins for use with ETUVA: Official Emily Plugins and User Created Plugins.  All Plugins created for ETUVA only work with ETUVA.  Plugins made to work with other software will not work with ETUVA.

Official Emily Plugins are available for installation in the Plugin Manager.  Official Emily Plugins contain no malicious code or copyrighted material.  Any images used in icons are the property of the image’s owner.  If you duplicate an Official Emily Plugin, then it becomes a User Created Plugin.

User Created Plugins may be freely distributed using the export function in the Plugin Manager, as long as they do not contain malicious intent or copyrighted material. 

User Created Plugins can also be shared with the Community using the Share function in the Plugin Manager. All Community Plugins are thoroughly reviewed by the WGI Software Team for malicious intent or copyrighted material and if found safe, are approved, and listed in the Community Plugins area on our website and become available for installation in the Plugin Manager.  Community Plugins that you create can be removed at your request.

WGI is not liable for any damages caused by User Created Plugins that you import.  It is your responsibility to scan the Plugin with an antivirus software, inspect the Plugin using the Plugin Designer, including all Commands, Simultaneous Events, and Actions to ensure no malicious intent or copyrighted material is present before using the Plugin.  If you suspect that a Plugin contains malicious intent, you may contact us about the Plugin that you received, but you agree that we are not required to respond or investigate.
